Terms and Conditions

These Terms and Conditions govern your participation in the FussionShade Partner Program. By joining or participating in the Program, you agree to be bound by these Terms. Please read them carefully before registering. If you do not agree to these Terms, do not participate in the Program.

Acceptance of Terms

By submitting an application, registering as a partner, or participating in any aspect of the Program, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and FussionShade.

By joining the Program, you agree to comply with all provisions outlined in this document. You further agree that FussionShade may modify these Terms from time to time, and your continued participation constitutes acceptance of any changes.

Eligibility

To be eligible for the Partner Program, you must meet the following requirements:

• Be at least eighteen (18) years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be restricted from participating in the Program under any applicable law or regulation
• Provide accurate and complete registration information
• Not have been previously terminated from the Program for violation of these Terms
• Comply with all applicable local, national, and international laws and regulations

FussionShade reserves the right to approve or reject any application at its sole discretion and to terminate any partner's participation at any time for any reason.

Partner Program Overview

The FussionShade Partner Program is a referral-based partnership that enables individuals and businesses to refer potential clients to FussionShade for custom software development, AI integration, web development, mobile application development, process automation, and related technology services. In exchange for qualifying referrals, partners earn commissions as outlined in these Terms.

There is no cost to join the Partner Program. The Program does not create an employment, agency, joint venture, or franchise relationship between you and FussionShade. You are an independent contractor and are responsible for your own taxes, insurance, and business expenses.

Referral Process

How to Submit a Referral

Partners may submit referrals through the designated referral submission channel provided upon registration. Each referral must include the potential client's name, contact information, and a description of the project requirements.

First-Referrer-Wins Policy

Only the first partner to submit a valid referral for a particular client will be credited for that referral. If two or more partners refer the same client, commission rights will be granted to the partner whose referral was received first, as determined by FussionShade's records.

Valid Referrals

A valid referral is one where the referred client has not previously been in contact with FussionShade, is not already in our CRM system, and has a genuine need for FussionShade's services. FussionShade reserves the sole right to determine whether a referral meets the criteria for a qualifying referral.

Commission Structure

Partners earn commissions based on qualifying referrals that result in signed contracts and completed project payments. The commission structure is as follows:

• Starter Tier: 10% commission on referred project revenue
• Premium Tier: 15% commission, available after 5 or more qualifying referrals
• Enterprise Tier: 20% commission, available after 10 or more qualifying referrals or for projects exceeding $50,000 in value

Commissions are calculated on the net payment received by FussionShade from the referred client, after deducting taxes, refunds, chargebacks, and applicable processing fees. Commissions are not earned on project cancellations, payments not collected, or amounts disputed by the referred client.

FussionShade reserves the right to modify the commission structure at any time with thirty (30) days' written notice to partners. Changes will apply to referrals made after the effective date of the change.

Payment Terms

Commission payments are processed according to the following terms:

• Commission payouts are processed on a monthly basis
• A minimum payout threshold of $50 applies; amounts below this threshold will roll over to the next payment cycle
• Payments are made via bank transfer, PayPal, or Wise to the account details provided by the partner
• Payment processing takes up to thirty (30) days from the date the commission is confirmed
• Partners are solely responsible for all applicable taxes on commission income
• FussionShade will provide detailed commission statements with each payment
• Disputes regarding commission amounts must be raised within sixty (60) days of the payment date

FussionShade reserves the right to withhold or offset commission payments in cases of suspected fraud, disputed referrals, or outstanding balances owed by the partner.

Intellectual Property

FussionShade Intellectual Property

All trademarks, trade names, logos, marketing materials, sales scripts, and other proprietary content provided by FussionShade remain the exclusive property of FussionShade. Nothing in these Terms grants you any ownership rights in FussionShade's intellectual property.

Partner Limited License

You are granted a limited, non-exclusive, revocable license to use FussionShade materials solely for the purpose of promoting FussionShade services as a partner. This license terminates automatically upon termination of your partner account.

Trademark Usage

You may not use FussionShade trademarks, logos, or branding without prior written approval from FussionShade. Unauthorized use of any FussionShade intellectual property is strictly prohibited and may result in immediate termination of your partnership.

Confidentiality

Non-Disclosure

During the course of your participation in the Program, you may have access to confidential information belonging to FussionShade, including but not limited to business strategies, financial information, client lists, pricing structures, technical documentation, and unreleased product details.

You agree to hold all confidential information in strict confidence, not disclose it to any third party without prior written consent, and use it solely for the purpose of performing your obligations under these Terms.

Competitive Information

You may not use confidential information obtained through the Program for competitive purposes, including but not limited to sharing information with competitors, using it to develop competing products or services, or leveraging it for personal gain outside the scope of the partnership.

These confidentiality obligations survive the termination of your partnership for a period of two (2) years.

Termination

Either party may terminate this agreement at any time by providing thirty (30) days' written notice to the other party. FussionShade may terminate your participation immediately, without notice, for any of the following reasons:

• Breach of any provision of these Terms
• Fraudulent, deceptive, or misleading referral practices
• Violation of applicable laws or regulations
• Conduct that brings FussionShade into disrepute

Effect of Termination

Upon termination, all outstanding commissions for qualifying referrals made prior to the termination date will be paid according to the standard payment terms. You must immediately cease all use of FussionShade trademarks, marketing materials, and proprietary information. Any pending referrals submitted before termination will still be processed for commission purposes.

Limitation of Liability

To the maximum extent permitted by applicable law, FussionShade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your participation in the Partner Program, regardless of the theory of liability.

FussionShade's total aggregate liability under these Terms shall not exceed the total commissions paid to you in the twelve (12) months immediately preceding the event giving rise to the claim. FussionShade does not guarantee any specific number of referrals, revenue, or commissions. All earnings figures provided are illustrative only and do not constitute guarantees of income.

Dispute Resolution

Good Faith Negotiation

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lahore, Pakistan, and the parties hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Modifications

FussionShade reserves the right to modify these Terms at any time at its sole discretion. When material changes are made, we will update the "Last Updated" date at the top of this page and notify partners via email or a prominent notice on the Partner Program dashboard at least thirty (30) days before the changes take effect.

Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must terminate your participation in the Program before the changes take effect.
